Approach

Our experience in the private company market has taught us a great deal over the years.

Business Valuation

We understand that a private company’s audited annual financial statements do not always reflect the true value inherent in the business. We take time to extract a clear financial picture of the business on a confidential basis prior to forming our opinion of its value.

Fees

We are confident in our ability to conclude value-enhancing transactions for our clients. Our fees are therefore largely “success-based”. In return, we require a reasonable period of exclusivity during which to conclude the transaction.

Confidentiality

The local business climate is extremely competitive. It is therefore critical to protect confidential financial information (e.g. selling prices, gross margins, salaries etc.) to the maximum extent possible, even whilst disposing of a business. Our approach is to give our clients peace of mind by allowing them to control the flow of information between seller and purchaser (i.e. what, when and to whom).

Intermediary

The potential for conflict is an unavoidable consequence of negotiating a corporate finance transaction. It is not optimal for such conflict to be directly between the purchaser and the seller as there is generally a requirement for an ongoing working relationship between the parties. In addition to the networking, valuation, negotiation and structuring components of our services, we also act as a “buffer” between the parties to ensure that a healthy future working relationship is preserved, without losing sight of the best possible outcome for our client.
